Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the websites, applications, and services offered by UltraLyfe LLC ("UltraLyfe," "we," "our," or "us"), including the UltraLyfe Practice OS, the Guided, Launch, and Growth experiences, professional website creation services, private strategy and coaching, and related tools and features (collectively, the "Services").

By creating an account, starting a trial, purchasing a subscription, enrolling in a package, or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

These Terms may be updated from time to time as described in the "Changes to Services and Terms" section.

You must be at least 18 years old to use the Services. By using the Services, you represent that you are 18 or older and that you have the legal capacity to enter into these Terms.

If you are using the Services on behalf of a business or professional practice, you represent that you are authorized to bind that business or practice to these Terms.

Nothing in the Services, marketing materials, coaching sessions, or communications creates an employer or employee relationship, a partnership, a joint venture, an agency relationship, or a franchise between you and UltraLyfe.

You are and remain solely responsible for your own business, your own decisions, your own results, your own clients, your own compliance obligations, and your own taxes.

UltraLyfe provides a connected system for health and wellness professionals to plan, build, run, and grow the business behind their practice.

The Services include the UltraLyfe Practice OS (a business operating system with modules for planning, strategy, clients, leads, content, progress, and support), private strategy and coaching hours in certain packages, professional website creation services in certain packages, and access to the UltraLyfe Coach and other AI-assisted features.

Not every feature is included in every plan or package. Features may be added, changed, renamed, or removed over time.

The Practice OS is a business operating system. It is designed to help you organize business planning, weekly focus, strategy work, client and lead information, content, progress, and support requests.

The Practice OS is not an electronic health record, an electronic medical record, or a clinical treatment record system. It is not designed to store protected health information, patient medical records, diagnoses, treatment records, clinical notes, or highly sensitive medical information unless UltraLyfe has expressly approved that specific use in writing.

You are responsible for your own professional privacy obligations, healthcare compliance obligations, client consent requirements, and clinical record systems.

A payment method is required to begin the 7-day Practice OS free trial. If you do not cancel before the trial ends, the trial converts to the paid Practice OS subscription option you selected at signup. If you selected monthly Practice OS, the trial converts to monthly Practice OS. If you selected annual Practice OS, the trial converts to annual Practice OS.

The 7-day Practice OS trial converts only into a paid Practice OS subscription. It does not convert into Guided, Launch, or Growth.

Paid Practice OS subscriptions renew automatically on the applicable monthly or annual cycle until cancelled through the process described in the "Termination" section.

Guided, Launch, and Growth are 12-month UltraLyfe experiences. Each includes the full Practice OS during the term.

Guided includes 6 flexible private strategy and coaching hours. It does not include professional website creation.

Launch includes 10 flexible private strategy and coaching hours and professional website creation.

Growth includes 14 flexible private strategy and coaching hours, Priority Support, and enhanced professional website creation. Enhanced does not mean unlimited. The specific enhanced website scope is determined by the approved arrangement for your project and may include premium buildouts such as blogs, program pages, enhanced client portals, or other custom premium pages.

At the end of the 12-month term, Guided, Launch, and Growth do not automatically renew as another same-tier term. At the end of the term, you may leave UltraLyfe, continue with a Practice OS subscription, or purchase additional coaching support or coaching credits separately under the current UltraLyfe pricing model.

Priority Support in Growth is a named support benefit. UltraLyfe does not promise a guaranteed response time.

Coaching hours included in Guided, Launch, or Growth are a flexible support bank. They are not required monthly calls. You may use them across the 12-month term based on what your practice actually needs.

Included coaching hours belong only to the applicable 12-month term. Unused hours expire at the end of the 12-month term, have no cash value, are not refundable, are not transferable unless approved by UltraLyfe in writing, and do not automatically roll over.

After the initial term, additional coaching may be purchased separately using the current UltraLyfe coaching-credit pricing model.

Launch includes professional website creation. Growth includes an enhanced professional website creation buildout. The specific scope for your project is confirmed through the applicable UltraLyfe website arrangement.

You are responsible for providing accurate business information, content, imagery, brand assets, approvals, and reasonably timely feedback so the project can move forward. Delays caused by outstanding client responses, missing content, or unresolved decisions may extend timelines.

Scope changes, additional pages, additional buildouts, or work outside the originally approved arrangement may be handled as separate work at additional cost.

UltraLyfe-managed website hosting and maintenance during the initial 12-month package term are provided under the terms of the applicable package.

After the first year, continued UltraLyfe-managed website hosting and maintenance are not automatically included forever. To keep an UltraLyfe-managed website live after the first year, you must maintain an active Practice OS subscription.

Continued website hosting and maintenance after the first year may be subject to additional renewal rates based on the website's scope, complexity, ongoing technical needs, and the applicable UltraLyfe website arrangement. Launch and Growth may have different post-year-one website rates. Exact rates are determined by the applicable arrangement and current approved pricing.

UltraLyfe does not promise lifetime free hosting, lifetime free maintenance, unlimited website changes, unlimited new pages, unlimited redesigns, or unlimited development.

The Practice OS includes UltraLyfe Coach and other AI-assisted features that generate suggestions, drafts, summaries, prompts, and other responses based on your inputs and the information in your workspace.

AI-generated output may be incorrect, incomplete, or out of date. You are responsible for reviewing, verifying, and deciding whether to use any AI-generated output. AI output does not constitute legal, medical, clinical, tax, accounting, or professional advice.

AI features may use third-party AI infrastructure, gateway providers, and model service providers to process prompts and generate responses. You should not enter information into UltraLyfe Coach or any AI-assisted feature that you are not authorized to submit.

The Practice OS is a business operating system and is not designed to function as an electronic health record, electronic medical record, or clinical treatment record system.

You must not enter protected health information, patient medical records, diagnoses, treatment records, clinical notes, or highly sensitive medical information into the Services unless UltraLyfe has expressly approved that specific use in writing.

You remain solely responsible for compliance with all professional privacy laws, healthcare regulations, licensing requirements, client consent requirements, and clinical recordkeeping obligations that apply to your practice.

The Services include areas where you may enter information about other people, including leads, prospects, clients, business contacts, referral sources, and other third parties. These areas include Leads CRM, Clients, Client Portal, strategy and business notes, and support interactions.

You are responsible for ensuring you have the appropriate authority, permission, or lawful basis to collect, enter, and use that information within the Services. You are responsible for the legality and accuracy of the information you enter, for honoring applicable privacy requests, for complying with applicable outreach and communication laws, and for maintaining any notices or permissions required for your own business.

UltraLyfe provides the business operating system. You remain responsible for your own collection and use of third-party information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify UltraLyfe promptly if you suspect unauthorized access to your account.

You may not share your account with people who have not been authorized to use it. You may not attempt to access parts of the Services you are not authorized to access.

You retain ownership of the business information, content, notes, and other materials you enter into the Services ("User Content").

You grant UltraLyfe a limited license to host, store, process, display, and otherwise use your User Content to operate and provide the Services to you, including through AI-assisted features that reference your workspace.

You represent that you have the rights necessary to submit your User Content to the Services and that your User Content does not violate applicable law or third-party rights.

The Services, including the Practice OS software, features, workflows, prompt systems, templates, methodologies, brand elements, and documentation, are owned by UltraLyfe or its licensors and are protected by intellectual property laws.

Nothing in these Terms grants you any right to copy, modify, distribute, reverse engineer, or create derivative works from the Services except as expressly permitted.

Websites and custom work created under Launch, Growth, or another approved arrangement may either continue to be managed by UltraLyfe or be transferred to you. The available path depends on your chosen arrangement.

If UltraLyfe continues managing the website, you must maintain an active Practice OS subscription after the first year, and applicable website hosting or maintenance renewal rates may apply.

If the website is transferred, UltraLyfe may assist with the transition. Future hosting responsibility, future maintenance responsibility, and domain responsibility follow the agreed transfer arrangement.

The specific written website agreement or transition arrangement controls the details of ownership, transfer, and continuation.

Fees for the Services are described at the point of purchase, in your enrollment materials, or in a separate written arrangement. Practice OS subscriptions are billed on the monthly or annual cycle you selected. Package fees for Guided, Launch, and Growth are billed according to the arrangement approved for your enrollment, which may include a payment plan.

You authorize UltraLyfe and its payment processor to charge your payment method on file for applicable fees, including recurring subscription renewals and scheduled payment plan installments.

Payment processing is handled by Stripe. Payment card details are provided to and stored by our payment processor, not by UltraLyfe.

Except where required by applicable law or expressly stated in a separate written arrangement, package fees, coaching hours, and completed work are non-refundable.

Practice OS subscription fees for a period already begun are non-refundable.

Unused included coaching hours have no cash value and are not refundable.

Estimated timelines for website creation, strategy work, and other project-based Services depend on timely input and approvals from you.

If a project is delayed due to outstanding responses, missing content, unresolved decisions, or other client-side factors, timelines and delivery expectations may shift. Extended inactivity may pause the project.

The Services may connect with, link to, or depend on third-party services, including a managed cloud database and authentication provider, a payment processor, a scheduling provider, a transactional email provider, and AI infrastructure and model providers.

Third-party services operate under their own terms and privacy policies. UltraLyfe is not responsible for the availability, accuracy, or actions of third-party services.

You agree to provide accurate business and contact information, to use the Services lawfully and honestly, to respect the intellectual property and rights of others, and to keep your account information current.

You are responsible for the decisions you make in your practice based on information, suggestions, coaching, drafts, or system output produced through the Services.

The Discovery Fit Check provides directional recommendations based on the information you submit. Recommendations are not a guarantee that a particular UltraLyfe path is right for you or that specific business outcomes will result.

Final enrollment in any UltraLyfe path is subject to acceptance and the applicable arrangement for that path.

Business results depend on many factors, including your effort, your market, your offer, your pricing, your execution, and factors outside anyone's control. UltraLyfe does not guarantee any specific number of leads, clients, revenue, growth, or other business outcome.

Any examples, testimonials, or references to prior client outcomes are not promises of similar results.

The Services are provided "as is" and "as available." To the fullest extent permitted by law, UltraLyfe disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

UltraLyfe does not warrant that the Services will be uninterrupted, error-free, or fully secure, or that AI-generated output will be accurate or complete.

To the fullest extent permitted by law, UltraLyfe and its owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business opportunities, or loss of data, arising out of or relating to the Services.

To the fullest extent permitted by law, UltraLyfe's total aggregate liability for any claim relating to the Services will not exceed the amount you paid to UltraLyfe in the 12 months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless UltraLyfe and its owners, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Content, your business, your decisions, information you enter about third parties, or your violation of these Terms or applicable law.

Practice OS subscription cancellation is requested inside the UltraLyfe platform through Support, in the Request section, using the Account or Subscription Cancellation Request. UltraLyfe processes the cancellation request, and future renewals stop after the cancellation is processed. Cancellation becomes effective when UltraLyfe confirms that the request has been processed.

Submitting a cancellation request does not automatically delete your account or your information.

Guided, Launch, and Growth are 12-month experiences and are not subscription-cancellable mid-term except as expressly permitted by the applicable arrangement or by law.

UltraLyfe may suspend or terminate access to the Services if you materially breach these Terms, misuse the Services, or engage in conduct that could harm UltraLyfe, other users, or third parties.

UltraLyfe may add, change, or remove features and Services over time. UltraLyfe may update these Terms from time to time. When updated, the "Last Updated" date on this page will reflect the change.

Continued use of the Services after an update means you accept the updated Terms.

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. The parties agree that the state and federal courts located in California are the exclusive venue for any dispute arising out of or relating to these Terms or the Services, and each party consents to the jurisdiction of those courts.
